1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and HOS Collective ("CE Monitor," "Company," "we," "us," or "our"). By creating an account, purchasing a subscription, accessing the website, or using CE Monitor, you agree to these Terms and our Privacy Policy. If you do not agree, do not use CE Monitor.

2. The Service

CE Monitor provides tools for continuing education tracking, including license and certification profiles, CE activity logs, certificate uploads, PDF scanning, renewal reminders, requirement reference information, deficiency views, dashboards, reports, CSV exports, and related support features.

Features may vary by plan, account type, profession, jurisdiction, launch phase, and availability. We may add, remove, suspend, or change features from time to time.

3. Not a Licensing Board or Legal Adviser

CE Monitor is not a licensing board, regulator, continuing education provider, legal adviser, accounting adviser, or professional compliance adviser. Requirement records, reciprocity tools, ASHA-related information, reminders, scans, reports, and deficiency alerts are provided for general informational and organizational purposes only.

Continuing education and licensure rules change frequently and may depend on your individual circumstances. You are solely responsible for verifying all requirements directly with the applicable licensing board, regulator, certifying body, employer, or professional organization before relying on information in CE Monitor. CE Monitor does not guarantee that any course, certificate, activity, report, reminder, or requirement summary will satisfy a licensing or certification obligation.

4. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use CE Monitor. You agree to provide accurate information, keep account details current, protect your credentials, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

5. Your Records and Responsibilities

You are responsible for the accuracy, completeness, and legality of information you enter or upload, including:

• License type, jurisdiction, renewal cycle, expiration date, ASHA certification information, and other profile settings.
• Course names, providers, dates, credit hours, categories, certificates, notes, and supporting documentation.
• Whether a course, provider, format, or activity is accepted by a board, employer, ASHA, or other authority.
• Maintaining independent copies of certificates and other important records outside CE Monitor.

You should not upload information that you do not have the right to use or that contains sensitive personal information unrelated to CE tracking.

6. Certificate Scanning and Automated Features

CE Monitor may use automated tools, including AI-assisted document processing, to extract suggested details from uploaded certificates or files. Automated outputs may be incomplete, inaccurate, or misread. You must review and confirm extracted information before relying on it.

Reminders, deficiency alerts, progress calculations, and reports depend on the information you enter, plan limits, requirement records available to us, and system availability. These features are aids, not guarantees.

7. Subscriptions, Billing, and Plan Limits

Paid plans are billed as shown at checkout. Prices, included features, activity limits, certificate scan limits, reminder schedules, and other plan terms may change from time to time. We will provide notice as required by law before changes apply to an active paid subscription.

Payments are processed by third-party payment providers. By purchasing a subscription, you authorize recurring charges until you cancel. You are responsible for applicable taxes and for keeping billing information current.

8. Cancellations and Refunds

You may cancel a subscription through the available billing tools or by contacting support. You may request a full refund by emailing support@cemonitor.com within 30 days of your initial purchase. After that 30-day period, fees are non-refundable unless otherwise required by law, and cancellation stops future renewal charges rather than issuing a refund for the current billing period.

9. Acceptable Use

You agree not to:

• Use CE Monitor for unlawful, misleading, infringing, harmful, or fraudulent purposes.
• Upload malicious code, interfere with service operations, probe systems, or attempt unauthorized access.
• Reverse engineer, scrape, resell, sublicense, or commercially exploit CE Monitor except as permitted in writing.
• Misrepresent CE Monitor reports as official board, ASHA, employer, or regulator determinations.
• Use automated systems to access CE Monitor in a way that burdens or disrupts the service.
• Upload protected health information or other sensitive information unless we expressly agree in writing to support that use case.

10. Intellectual Property

CE Monitor, including its software, design, branding, text, workflows, databases, and other content, is owned by HOS Collective or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use CE Monitor for your personal or authorized organizational continuing education tracking.

You retain ownership of information and files you submit to CE Monitor. You grant us the rights needed to host, process, display, back up, transmit, analyze, and otherwise use that content to provide and improve CE Monitor.

11. Third-Party Content and Links

CE Monitor may reference or link to licensing boards, ASHA resources, continuing education providers, payment processors, or other third-party services. We do not control and are not responsible for third-party content, policies, availability, accuracy, or practices.

12. Service Availability

We aim to provide a reliable service, but CE Monitor may be unavailable, delayed, changed, or interrupted due to maintenance, security events, provider issues, internet failures, or circumstances outside our control. We are not responsible for missed deadlines, lapsed credentials, lost opportunities, or other consequences caused by service interruptions or by reliance on reminders.

13. Disclaimers

CE Monitor is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

14. Limitation of Liability

To the fullest extent permitted by law, CE Monitor and HOS Collective will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, license consequences, certification consequences, regulatory outcomes, business interruption, or reputational harm. Our total liability for any claim relating to CE Monitor will not exceed the amount you paid to us for the service in the 12 months before the event giving rise to the claim, or $100 if you paid nothing.

15. Indemnification

You agree to defend, indemnify, and hold harmless CE Monitor, HOS Collective, and their owners, employees, contractors, service providers, and affiliates from claims, damages, liabilities, costs, and expenses arising from your use of CE Monitor, your records or uploads, your violation of these Terms, or your violation of law or third-party rights.

16. Suspension and Termination

We may suspend or terminate access to CE Monitor if we believe you violated these Terms, created risk for the service or other users, failed to pay fees, or used the service in a way that may cause legal, security, or operational issues. You may stop using CE Monitor at any time.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the service, by email, or by other reasonable means. Continued use of CE Monitor after updated Terms become effective means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law rules, unless applicable law requires otherwise.
